Покупка яхты – несомненно, увлекательный и приятный процесс. У каждого покупателя своя история: как он пришел к решению о покупке яхты, какие жизненные факторы повлияли на принятие такого решения, почему он выбрал парусную или моторную яхту, однокорпусную или катамаран.

В рамках яхтенной практики Interlegal, мы регулярно помогаем клиентам покупать и продавать яхты и полностью обеспечиваем юридическую часть сделки. На какие НЕ технические моменты стоит обратить внимание:

1. Профессионалы вокруг.

Окружите себя людьми, которые знают, что они делают: юристы, сюрвейера, брокеры. В этом бизнесе много людей, которые выдают себя за «профессионалов». Поэтому, прежде чем покупать яхту, найдите опытных экспертов в этом деле, которые Вам помогут, а при идеальном варианте – сделают всё за Вас сами.

2. Брокер.

Отдельное внимание уделите выбору брокера.

Хороший брокер делает сделку. Он может и должен быть вашим ценным инструментом. Плохой брокер сидит на палубе и ждет свою комиссию.

Не забывайте, что брокеры – не юристы, их задача – закрыть сделку. Задача юристов – обеспечить безопасность стороны, которую они представляют (продавца или покупателя).

При взаимоотношениях с брокерами важно и нужно учитывать следующие нюансы:

– Кто платит деньги брокеру?

Обычно: при купле-продаже платит продавец, при постройке – судостроитель, и владелец яхты – в случае заключения чартера.

– Может ли брокер принимать участие в согласовании условий договора?

Да, если он действует от имени и в интересах своего клиента.

– Нужно ли мне выплачивать комиссию?

Роль и полномочия брокера понятны в случае, если применяется проформа договора MYBA (комиссию платит продавец). Во всех остальных случаях вопросу уплаты комиссии необходимо уделить отдельное внимание и закрепить в договоре согласованную позицию. На практике, брокер будет иметь право на комиссию в любом случае, если докажет, что он имел непосредственное влияние на установление договорных отношений между продавцом и покупателем и, фактически, принимал участие в заключении сделки.

3. Договор.

Заключайте сделку только в письменном виде – с оформлением соответствующего договора, описанием и предусмотрением существенных и специальных условий и списка необходимых документов.

К существенным условиям договора купли-продажи, как правило, относятся:

  • • наименование сторон;
  • • место и дата заключения договора;
  • • предмет договора (купля-продажа конкретной яхты);
  • • краткое описание в договоре фактических технических характеристик с приложением к договору технической документации;
  • • срок и порядок передачи (поставки) яхты;
  • • стоимость яхты и порядок расчетов;
  • • условия о дефектах и гарантийные сроки;
  • • ответственность сторон (штрафные санкции, возмещение убытков);
  • • урегулирование споров, основания для изменения и расторжения договора.

Самой популярной и используемой проформой договора купли-продажи яхт на сегодня является упомянутая выше проформа MYBА. Данную проформу стороны договора могут корректировать, дополнять любыми необходимыми условиями.

Обязательно обращайте внимание на то, чтобы любые договоренности, достигнутые в устной форме, должны быть закреплены в письменной форме.

4. Кому платить депозит?

Обычно, депозит удерживается брокерами либо юристами продавца. Тем не менее, в зависимости от ситуации, стороны могут коммерчески согласовать, что депозит будет удержан брокерами либо юристами покупателя. Любая из сторон, в руках которой будет депозит, должна быть должным образом на это уполномочена.

Часто бывает, что многие проблемы с лодкой выявляются только после ее покупки. Для избежания подобных проблем, компания Sailica, которая предоставляет услуги по аренде яхт, советует при заключении договора о продаже, указать, что последние 7-10 % стоимости яхты будут оплачены после завершения испытаний на воде. Это позволит предостеречь себя в случае возможных проблем, после покупки яхты.

5. Банк

С учетом нынешних банковских реалий и ужесточенных банковских требований, обязательно необходимо до сделки согласовать с банком проведение платежа по договору. Зачастую договором устанавливаются довольно жесткие временные рамки для перечисления платежей (аванса и остатка). Если покупатель не проведет платеж вовремя, продавец имеет право расторгнуть сделку. В этой связи, чтобы не нарушить условия договора по банальной причине «банк затормозил платеж», мы рекомендуем покупателям оговаривать с банком все условия заранее.

6. FAQ:

  • • Оплачен ли по яхте НДС? Или перед покупателем возникнет обязательство его уплаты после покупки?
  • • Какая будет схема владения яхтой? Через компанию (как титульного владельца) или оформить право собственности на яхту на физическое лицо?
  • • Как я (т.е. покупатель) буду в последующем эксплуатировать яхту: в личных целях для прогулок, либо в коммерческих (сдача в чартер)?
  • • Хочу ли я сохранить текущий флаг? Повлияет ли действующий флаг на эксплуатацию яхты? Или лучше будет поменять флаг? Что в себя включает процедура смены флага? Какие требования нового Реестра?
  • • Хочу ли я оставить действующий экипаж или нанять новый?
  • • Как и где мне наиболее выгодно застраховать моё новое имущество?

Ответы на подобные вопросы определят не только содержание договора купли-продажи яхты, но и последующие действия покупателя при владении яхтой.
