Partnership agreement in the framework of educational project

Gentleman’s agreements are widely spread in the Ukrainian business practice. In such situations business partners, while holding negotiations, fix their agreement orally. In this project the client also did not want to draft complex multi-page agreements but was sure in the need to conclude a written agreement.
The Client engaged in educational services filed a request to Interlegal. Following the training course, several students could become trainers and perform training courses by themselves, in the framework of prescribed program. The Client needed a partnership agreement for cooperation with such students, in order to defend its rights.
With regards to specifications of the Client’s activity and task, Interlegal lawyers drafted a partnership & business cooperation agreement. At the Client’s request, such agreement provided for a simple and brief text but also stipulated all the instruments required for defense of the Client (including defense of intellectual property rights, against competition in similar activity and against commercial secret disclosure).
This example showed positive trends in favour of a written agreement on business processes. A simple and brief agreement, signed by the partners, will contain the following: a) unambiguous view of the partners’ further activity; b) confirmation of agreements between the parties at the beginning of their relations; c) instruments for defense of the partners’ rights in case of violation thereof.
